1. Agreement to Terms

2. Services Description

LBI Design provides professional web design and development services, including but not limited to:

• Custom website design and development
• WordPress development and customization
• E-commerce solutions
• Landing page design
• Website maintenance and support
• Digital strategy consulting
• UI/UX design services
• Website performance optimization

2.1 Project Scope

Each project will be governed by a specific project proposal or contract that outlines the scope of work, deliverables, timeline, and costs. The project proposal, when accepted, becomes part of these Terms.

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will notify clients of any significant changes that may affect ongoing projects.

3. Client Responsibilities

To ensure successful project completion, clients agree to:

• Provide accurate and complete information about project requirements
• Supply all necessary content, materials, and resources in a timely manner
• Provide feedback and approvals within agreed timeframes
• Ensure all provided content does not infringe on any third-party rights
• Maintain appropriate backups of all existing website data
• Provide access to necessary accounts, hosting, and domain services
• Communicate project changes or concerns promptly

3.1 Content Provision

Client-provided content must be delivered in the formats specified in the project proposal. Delays in content provision may result in project timeline adjustments.

3.2 Legal Compliance

Clients are responsible for ensuring their website content and business practices comply with all applicable laws and regulations, including but not limited to GDPR, accessibility standards, and industry-specific requirements.

4. Payment Terms

4.1 Pricing and Quotes

All prices are quoted in the currency specified in the project proposal. Quotes are valid for 30 days unless otherwise specified.

4.2 Payment Schedule

Our standard payment structure is as follows:

• 50% deposit upon project commencement
• 25% upon design approval
• 25% upon project completion and before final delivery

Alternative payment schedules may be agreed upon in writing for specific projects.

4.3 Payment Methods

We accept payments via:

• Bank transfer
• Credit/Debit cards
• PayPal
• Other methods as agreed upon

4.4 Late Payments

Invoices are due within 14 days of issue unless otherwise specified. Late payments may incur a fee of 2% per month on the outstanding balance. We reserve the right to suspend work on projects with overdue payments.

4.5 Refund Policy

Due to the custom nature of our services, refunds are evaluated on a case-by-case basis. Work completed according to approved specifications is non-refundable. Deposits are non-refundable once work has commenced.

5. Intellectual Property Rights

5.1 Ownership Transfer

Upon full payment, clients receive ownership of the custom designs and code created specifically for their project. This excludes:

• Third-party components, plugins, and libraries
• Stock images, fonts, and other licensed materials
• Our proprietary tools and methodologies
• Pre-existing intellectual property

5.2 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless a non-disclosure agreement specifies otherwise.

5.3 Third-Party Materials

Any third-party materials used in projects remain the property of their respective owners. Clients are responsible for obtaining and maintaining appropriate licenses for continued use.

5.4 Source Files

Design source files (PSD, AI, Sketch, Figma files) are included in the project deliverables unless otherwise specified. We retain copies for archival purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes:

• Business strategies and plans
• Financial information
• Customer data
• Technical specifications
• Trade secrets

6.1 Non-Disclosure

Confidential information will not be disclosed to third parties without written consent, except as required by law or court order.

6.2 Data Protection

We implement appropriate technical and organizational measures to protect personal data in accordance with applicable data protection laws.

7. Warranties and Liability

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period for bug fixes after project completion.

7.2 Disclaimer of Warranties

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of information

7.3 Limitation of Liability

Our total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by the client for the specific project. We shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Data loss or corruption
• Third-party claims

7.4 Indemnification

Clients agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Client-provided content
• Violation of these Terms
• Infringement of third-party rights
• Use or misuse of the delivered services

8. Termination

8.1 Termination by Client

Clients may terminate a project at any time with written notice. Payment is due for all work completed up to the termination date, plus any cancellation fees specified in the project agreement.

8.2 Termination by Company

We may terminate services if:

• Payment is overdue by more than 30 days
• Client breaches these Terms
• Client fails to provide necessary materials or feedback
• Continuation would violate any law or regulation

8.3 Effect of Termination

Upon termination:

• All outstanding invoices become immediately due
• Work in progress will be delivered in its current state
• Each party returns or destroys confidential information
• Licenses for incomplete work are not transferred

9. Privacy Policy

9.1 Data Collection

We collect and process personal data in accordance with our Privacy Policy, including:

• Contact information (name, email, phone)
• Business information

10.3 Entire Agreement

These Terms, together with any project proposals and agreements, constitute the entire agreement between the parties.

10.4 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

10.5 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

10.6 Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or pandemic.

10.7 Assignment

Clients may not assign or transfer their rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity.

10.8 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
